3. Applicability

These Terms and Conditions apply to all offers, quotations, orders, deliveries, accounts, invoices and agreements between Frassor and the Customer.

These Terms and Conditions are intended for B2B transactions. By placing an order, requesting a quotation, creating a B2B account or purchasing products from Frassor, the Customer confirms that they act in the course of a business, profession or organisation.

Any purchasing conditions or other terms used by the Customer are excluded, unless Frassor has accepted them expressly and in writing.

If any part of these Terms and Conditions is invalid or unenforceable, the remaining provisions remain fully valid.

4. B2B Account and Access

Frassor may offer professional customers access to a B2B account, wholesale information, product documentation, pricing and ordering options.

Frassor may request company information before approving B2B access, including company name, VAT number, country, business type, contact details and expected product interest.

Frassor reserves the right to approve, refuse, suspend or close a B2B account if the information provided is incomplete, incorrect, no longer valid or if the account is not used in accordance with these Terms and Conditions.

There is no subscription cost for becoming a Frassor B2B customer, unless expressly agreed otherwise in writing.

The Customer is responsible for keeping account login details secure and for all activity carried out through their B2B account.

5. Offers, Quotations and Product Information

All offers, prices, product information, technical data, images and availability shown on the Website or in other communication are provided with care, but may be subject to change.

Obvious errors, mistakes, incorrect prices or incorrect product information do not bind Frassor.

Quotations are valid only for the period stated in the quotation. If no validity period is stated, Frassor may withdraw or change the quotation at any time before acceptance.

Product images are for illustration purposes. Packaging, labels, colour, size or presentation may differ from the images shown.

Technical information, dosage guidance and application advice are provided as general professional guidance. The Customer remains responsible for assessing product suitability for their specific project, soil, crop, climate, application method and local conditions.

6. Orders and Agreement

An agreement is concluded when Frassor confirms the order, accepts the Customer’s quotation request, or starts processing the order.

Frassor may refuse or cancel an order if products are unavailable, customer information is incomplete, payment is not received, shipping is not possible, or there is a reasonable commercial or legal reason to do so.

If the Customer places an order on behalf of a company or organisation, the person placing the order confirms that they are authorised to do so.

The Customer is responsible for checking the order confirmation and reporting any incorrect information immediately.

7. Prices and VAT

Unless stated otherwise, prices are shown in euros and may be displayed excluding or including VAT depending on the Website settings, Customer account type and applicable law.

Delivery costs, pallet transport, customs charges, import duties, local taxes or other additional costs may be charged separately where applicable.

Frassor may change prices at any time. Price changes do not affect confirmed orders, unless the price shown was clearly incorrect or unless otherwise agreed in writing.

B2B pricing, bulk pricing, discounts or special conditions may depend on order quantity, product type, country, customer group, delivery location or separate agreement.

8. Payment

Payment must be made using the payment methods offered by Frassor or agreed in writing.

Frassor may require full payment before dispatch, especially for first orders, international orders, custom orders, bulk orders or non-approved B2B accounts.

If payment by invoice is agreed, the Customer must pay within the payment term stated on the invoice.

If the Customer does not pay on time, Frassor may suspend deliveries, block B2B account access, charge statutory commercial interest, and recover reasonable collection costs.

The Customer may not suspend payment or offset amounts unless Frassor has agreed to this in writing.

9. Delivery

Frassor will make reasonable efforts to deliver products within the indicated delivery period. Delivery times are estimates and are not guaranteed unless expressly agreed in writing.

Delivery may be carried out by parcel service, pallet transport, courier, freight carrier or another logistics partner.

The Customer is responsible for providing complete and correct delivery information, including company name, address, contact person, phone number, delivery restrictions and unloading requirements.

For pallet or bulk deliveries, the Customer must ensure that the delivery location is accessible for the carrier and that someone is available to receive the goods.

Additional costs caused by incorrect delivery information, failed delivery attempts, storage, redelivery, refusal of delivery or inaccessible delivery locations may be charged to the Customer.

10. Transfer of Risk and Ownership

The risk of loss, damage or deterioration of the products transfers to the Customer when the products are delivered to the agreed delivery address or handed over to the carrier, depending on the agreed delivery terms.

Ownership of the products remains with Frassor until all amounts owed by the Customer for the relevant order have been paid in full.

Until ownership has transferred, the Customer may not pledge, resell, process, mix or otherwise dispose of the products in a way that affects Frassor’s ownership rights, unless this is part of normal business use and payment has been made or agreed.

11. Inspection and Complaints

The Customer must inspect the products immediately upon delivery.

Visible transport damage, missing items or incorrect deliveries must be reported to Frassor as soon as possible, preferably within 48 hours after delivery, with clear photos and order details.

Other complaints must be reported within a reasonable time after discovery, with sufficient information to allow Frassor to assess the issue.

If the Customer does not report visible damage, missing products or incorrect delivery within a reasonable time, Frassor may reject the complaint if the delay makes proper assessment impossible.

Submitting a complaint does not suspend the Customer’s payment obligations.

12. Returns and Cancellations

Because Frassor supplies professional B2B customers, there is no automatic consumer right of withdrawal for B2B orders.

Returns are only accepted with prior written approval from Frassor.

Products may only be returned if they are unused, unopened, undamaged, complete, in their original packaging and suitable for resale, unless Frassor has agreed otherwise.

Custom-made products, opened products, damaged products, used products, products with limited shelf life, special orders, bulk orders, pallet orders or products that have been stored incorrectly cannot normally be returned.

Return costs are borne by the Customer unless Frassor has delivered an incorrect or defective product.

Frassor may deduct handling, inspection, transport or restocking costs from any approved refund.

13. Product Use and Customer Responsibility

The Customer is responsible for using the products correctly and professionally.

Products must be stored, handled and applied according to the product label, technical data sheet, safety data sheet, application instructions and any applicable laws or regulations.

Dosage, timing and results may depend on many factors, including soil condition, weather, crop type, grass type, water availability, equipment, application method and maintenance programme.

Frassor is not liable for poor results, crop damage, lawn damage, incorrect application, overdosing, unsuitable use, incorrect storage, mixing with other products, or failure to follow product instructions.

The Customer is responsible for ensuring that the products are suitable for the intended use and for any advice given by the Customer to its own clients.

14. Technical Advice and Documentation

Frassor may provide product advice, dosage information, technical documents, safety documents, application guidance, product comparisons or other professional information.

This information is provided to support the Customer, but it does not replace the Customer’s own professional judgement, testing, local regulatory checks or site-specific assessment.

Any advice is based on the information provided by the Customer. Frassor is not responsible for incorrect advice where the Customer has provided incomplete, inaccurate or misleading information.

15. Resale and Marketing

The Customer may not make misleading, exaggerated, unauthorised or legally restricted claims about Frassor products.

Frassor trademarks, product images, labels, logos, texts and marketing materials may only be used with permission and in accordance with Frassor’s instructions.

16. Force Majeure

Frassor is not liable for delays or failure to perform caused by circumstances beyond its reasonable control.

This includes, but is not limited to, transport disruption, production issues, crop or raw material shortages, supplier delays, strikes, extreme weather, fire, pandemics, government measures, import or export restrictions, technical failures or energy supply problems.

In such cases, Frassor may suspend performance, extend delivery times, deliver partially or cancel the agreement without being liable for damages.

17. Liability

Frassor’s liability is limited to direct damage caused by a proven failure attributable to Frassor.

Frassor is not liable for indirect damage, consequential damage, loss of profit, loss of turnover, business interruption, loss of clients, reputational damage, crop loss, lawn damage, failed application results or claims from third parties.

Where Frassor is liable, liability is limited to the invoice amount of the relevant order, excluding VAT and delivery costs, unless mandatory law provides otherwise.

Nothing in these Terms and Conditions excludes liability where this is not permitted by law.

18. Product Availability and Changes

Frassor may change, improve, replace or discontinue products, packaging, formulas, labels, specifications or product information at any time.

Availability may depend on production, stock, season, raw materials, transport capacity and country-specific restrictions.

Frassor is not obliged to continue supplying a product indefinitely.

19. Intellectual Property

All intellectual property rights relating to the Website, product texts, images, labels, packaging, brand materials, technical documents, logos and Frassor trademarks remain the property of Frassor or its licensors.

The Customer may not copy, reproduce, modify, distribute or commercially use these materials without prior written permission from Frassor.

20. Privacy

Frassor processes personal data in accordance with its Privacy Policy.

The Customer is responsible for ensuring that any personal data provided to Frassor is accurate and lawfully shared.

21. Governing Law

These Terms and Conditions and all agreements between Frassor and the Customer are governed by Dutch law.

The applicability of the United Nations Convention on Contracts for the International Sale of Goods is excluded, unless Frassor agrees otherwise in writing.

22. Disputes

Any disputes between Frassor and the Customer will first be discussed in good faith to try to reach a practical solution.

If no solution is reached, disputes will be submitted to the competent court in the Netherlands, unless mandatory law requires another competent court.

23. Changes to These Terms

Frassor may update these Terms and Conditions from time to time.

The version published on the Website or provided at the time of order applies to the relevant agreement, unless otherwise agreed in writing.
